Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Smart Connections website, apps, and plugins (collectively, the "Service") operated by Jobsi, inc. ("Smart Connections," "we," "us," or "our").
Smart Connections is not affiliated with OpenAI. OpenAI, ChatGPT, and other third-party names may be trademarks of their respective owners. Use of third-party marks does not imply endorsement or affiliation.
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1) Definitions
- "Account" means the user account you create on the Service (if applicable).
- "Core" means features and plugins offered without a paid subscription.
- "Pro" means paid subscription access to certain features and plugins designated as Pro at the time of use.
- "Plugins" means software components we make available for use with Obsidian or other supported environments.
- "Pro Plugins" means Plugins (or portions of Plugins) designated as Pro.
- "License Key" means a credential, token, or entitlement mechanism we issue to enable Pro features.
- "User Content" means content you provide to the Service, including (without limitation) text, files, notes, metadata, prompts, and other data you upload, sync, transmit, or otherwise make available through the Service.
- "Commercial Use" is defined in Section 8.
2) Eligibility
You must be legally able to form a binding contract to use the Service.
If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include that organization.
3) The Service (what it is)
The Service includes:
- a website and account/subscription management pages,
- locally installed Plugins (including Pro Plugins),
- licensing/entitlement verification and Plugin update delivery, and
- optional integrations and online functionality.
Many Plugin features are designed to run "mostly local" on your device. Some features may communicate with our servers (for example, to verify entitlements, deliver updates, or enable optional online services). Some features may also interact with third-party services that you enable or configure.
We may add, remove, or change features over time.
4) Account registration and security
If the Service requires an Account:
- You agree to provide accurate information and keep it up to date.
- You are responsible for all activity under your Account.
- You must safeguard your Account credentials and any License Keys.
- You must promptly notify us if you believe your Account or License Key has been compromised.
5) Core vs Pro
5.1 Core
Core features may be available without payment. We may change Core features at any time.
5.2 Pro
Pro includes access to certain Pro features and Pro Plugins during an active subscription, subject to these Terms and payment of applicable fees.
Pro features and the list of Pro Plugins may change over time.
6) Pro subscriptions: trials, billing, renewal, cancellation
6.1 Free trial (card required; auto-converts)
If we offer a free trial, you must provide a valid payment method to start the trial.
Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the price and billing cadence shown at checkout.
We may offer trial extensions at our discretion (for example, to users who report issues), but we are not obligated to do so.
6.2 Billing and renewal
- Pro subscriptions renew automatically unless canceled before the renewal date.
- You authorize us (and our payment processor) to charge your payment method for recurring subscription fees, taxes, and any other charges you approve at checkout.
- Pricing and plan details are shown at checkout and may vary by plan.
6.3 Cancellation
You can cancel using our subscription management page (currently: https://smartconnections.app/subscription-manage/) or any other cancellation method we make available in the Service.
Unless we state otherwise at checkout, cancellation takes effect at the end of the then-current billing period, and you retain Pro access until that period ends.
6.4 Failed payments and chargebacks (immediate downgrade)
If a payment fails, is reversed, or is charged back:
- we may immediately disable Pro access and Pro Plugin updates, and
- Pro Plugins may revert to Core functionality (if available) or stop functioning in Pro mode.
You are responsible for resolving payment issues to restore Pro access.
6.5 Refunds and credits (discretionary)
Except where required by law, all fees are non-refundable.
We may offer refunds, credits, or other accommodations at our sole discretion. If we issue a refund or credit, we may revoke Pro access associated with the refunded period.
7) License to use Plugins and Pro Plugins
7.1 License grant (Personal Use)
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Plugins and Pro Plugins for your personal, non-commercial use ("Personal Use").
7.2 One person; unlimited personal devices "within reason"
Your Pro access is for a single individual. You may use Pro on an unlimited number of your own personal devices "within reason."
"Within reason" means typical use across the devices you personally use (for example, desktop + laptop + mobile) and does not include key sharing, credential pooling, or multi-user access.
7.3 No key sharing; no transfers
You may not:
- share, publish, or post your License Key,
- sell, rent, lease, lend, or transfer Pro access or License Keys,
- allow others to use your Account or Pro access, or
- enable access for multiple individuals under one individual Pro subscription.
8) Commercial Use Add-on (annual)
8.1 Commercial Use definition
"Commercial Use" means use of Pro features or Pro Plugins:
- by or for a business, organization, employer, or client (including internal business use), or
- primarily intended to generate revenue or support commercial operations.
8.2 Commercial Use is not included in standard Pro
Commercial Use is not included in standard Pro.
If you want Commercial Use rights, you must purchase the Commercial Use Add-on (annual) unless we agree otherwise in writing.
8.3 Seat scope
Unless your purchase explicitly includes multiple seats, the Commercial Use Add-on applies to a single individual seat. Key sharing remains prohibited.
8.4 Unauthorized Commercial Use
Using Pro for Commercial Use without the Commercial Use Add-on is a material breach of these Terms and may result in immediate suspension or revocation of Pro access.
9) Updates, auto-updating, and downgrade behavior
Plugins and Pro Plugins may update automatically (including for security, compatibility, performance, or feature changes).
When Pro ends or is revoked, Pro Plugins may:
- stop updating,
- stop functioning in Pro mode,
- revert to Core functionality (if available), or
- be disabled and replaced with a minimal experience directing you to resubscribe.
You are responsible for maintaining backups of your local data. We are not responsible for data loss caused by your device, your Obsidian environment, third-party services, or your failure to back up.
10) Acceptable use and restrictions
You agree not to:
- violate any applicable law or regulation,
- infringe or misappropriate intellectual property rights or privacy rights,
- upload or store illegal content using the Service,
- attempt to bypass, disable, interfere with, or circumvent access controls, license checks, or security features,
- reverse engineer, decompile, or disassemble any part of the Service except to the extent such restriction is prohibited by law,
- interfere with the normal operation of the Service, including by introducing malware or performing abusive automation,
- use the Service to exploit, harm, or threaten others.
We may monitor usage and service metadata (for example, entitlement checks and request rates) to protect the Service, prevent abuse, and enforce these Terms.
11) User Content
11.1 Your ownership
You retain all rights and ownership in your User Content.
11.2 Permission to operate the Service
You grant us a limited license to host, store, process, and transmit your User Content only as necessary to operate the Service for your benefit (for example, to deliver optional online functionality you enable, or to provide support at your request).
11.3 No sale of your content
We do not sell your User Content.
11.4 Third-party processing
If you configure the Service to send content to third-party services (for example, an AI provider), those services process data under their own terms and policies. We are not responsible for third-party data practices.
11.5 Content removal
We may remove or restrict access to User Content if we believe it violates these Terms or the law, or to protect the Service or others.
12) Privacy and data practices
Our Privacy Policy describes how we collect and use personal information (see: https://smartconnections.app/legal/privacy-policy or the then-current link on our site).
As a baseline, we aim to store minimal account and billing metadata required to operate subscriptions and entitlements.
We do not intentionally store your private note content or conversation transcripts unless you explicitly use a feature that requires storage or you provide content to us for support purposes.
We may retain certain records as required for legal, tax, accounting, security, and fraud-prevention purposes.
13) Intellectual property
The Service, including the website, Plugins, Pro Plugins, code, branding, and documentation, is owned by Smart Connections and its licensors and is protected by intellectual property laws.
Except for the limited rights granted in these Terms, no rights are granted to you.
14) Third-party services and dependencies
The Service may integrate with or depend on third-party services (for example, Obsidian, payment processors, and AI providers). Your use of third-party services is governed by their terms.
We are not responsible for third-party outages, changes, or actions that affect the Service.
15) Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available."
We disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any outputs produced via integrations (including AI) will be accurate, complete, or suitable for any purpose.
16) Limitation of liability
To the maximum extent permitted by law:
- Smart Connections will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities, even if advised of the possibility.
- Smart Connections' total liability for all claims arising out of or relating to the Service will not exceed the amount you paid to Smart Connections for the Service in the 12 months immediately preceding the event giving rise to the claim (or USD $100 if you paid nothing), whichever is greater.
Some jurisdictions do not allow certain limitations. In those jurisdictions, liability is limited to the greatest extent permitted by law.
17) Indemnification
You agree to indemnify and hold harmless Smart Connections and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Service,
- your User Content,
- your violation of these Terms, or
- your violation of any law or third-party rights.
18) Suspension and termination
18.1 By you
You may stop using the Service at any time. You may cancel Pro as described in Section 6.
18.2 By us
We may suspend or terminate your access to the Service (including Pro access) immediately if we reasonably believe:
- you breached these Terms,
- you engaged in key sharing or circumvention,
- your use poses a security risk, legal risk, or operational risk, or
- we are required to do so by law.
Where reasonable, we may attempt to notify you, but we are not obligated to provide notice in all cases (for example, to prevent ongoing abuse).
18.3 Effect of termination
Upon termination, your right to use the Service ends. Sections that by their nature should survive will survive, including (without limitation) intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
19) Changes to the Service and to these Terms
We may update the Service and these Terms.
If we make material changes to these Terms, we will provide notice (for example, by posting an updated Effective Date, and/or by email if we have it). Changes are effective as of the Effective Date listed above unless stated otherwise.
By continuing to use the Service after changes take effect, you agree to the updated Terms. If you do not agree, you must stop using the Service and cancel Pro.
20) Dispute resolution (default: consumers in courts; businesses in arbitration)
20.1 Informal resolution first
Before filing a formal claim, you agree to email legal@smartconnections.app with:
- your name and account email,
- a description of the issue, and
- the relief you are requesting.
We will attempt to resolve the dispute within 30 days.
20.2 Consumers (Personal Use)
If a dispute is not resolved informally, and you are using the Service solely for Personal Use, the dispute will be resolved in the state or federal courts located in Delaware, unless applicable consumer law requires a different venue.
Either party may bring an eligible claim in small claims court.
20.3 Businesses and Commercial Use (binding arbitration)
If you are using the Service for Commercial Use, or the dispute relates to Commercial Use or the Commercial Use Add-on, the dispute will be resolved by binding arbitration administered by JAMS in Delaware.
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent unauthorized access, misuse of License Keys, or infringement of intellectual property rights.
21) Governing law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
22) Miscellaneous
- Entire agreement. These Terms (and any policies incorporated by reference, including the Privacy Policy) are the entire agreement between you and Smart Connections regarding the Service.
- Severability. If any provision is found unenforceable, the remainder will remain in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- Notices. We may provide notices via the Service, email, or by posting updates to our legal pages.
